Agreement to Terms

These Terms of Service ("Terms") govern your use of Agentis Solutions' API monetization platform and related services (the "Service") operated by Agentis Solutions ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

Our Privacy Commitment

We do not sell, rent, or trade your personal information, including SMS data and phone numbers. Your information is used exclusively to provide and improve our services. You can opt out of SMS communications at any time by replying STOP.

1. Use of Service

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit any unauthorized advertising or promotional material
  • To impersonate or attempt to impersonate the Company, another user, or any other person or entity
  • In any way that infringes upon the rights of others
  • To engage in any activity that could disable, damage, or impair the Service

2. Account Registration

To access certain features of our Service, you must register for an account. When you register, you agree to: provide accurate, current, and complete information; maintain and promptly update your account information; maintain the security of your password and account; accept responsibility for all activities that occur under your account; and notify us immediately of any unauthorized use.

3. API Usage and Pricing

Our Service includes:

  • API monetization gateway for direct agent payments
  • Usage-based pricing as specified in your plan
  • Real-time analytics and monitoring
  • Direct payment processing without platform fees

You agree to pay all fees associated with your use of the Service according to the pricing plan you select.

4. SMS Communications and Express Consent

TCPA Compliance and Express Written Consent

By providing your mobile phone number and checking the opt-in box, you provide your express written consent to receive text messages from Agentis Solutions using an automatic telephone dialing system. Consent is not required as a condition of purchasing any goods or services.

SMS Program Terms:

  • Program Name: Agentis Solutions Alerts
  • Message Frequency: You will receive approximately 2-5 messages per month for account updates, plus additional messages based on your support requests
  • Message Types:
    • Account alerts and notifications
    • Payment confirmations and billing updates
    • API status and system maintenance alerts
    • Security notifications
    • Support ticket updates
  • No Mobile Purchase Required: Our services are not available for purchase via SMS

Opt-In and Opt-Out Procedures:

  • Opt-In: You must explicitly check the consent box to opt-in to SMS communications. We will send a confirmation message upon opt-in.
  • Opt-Out: Text STOP to any message to cancel. You'll receive a final confirmation of opt-out. You may also:

    • Update preferences in your account settings
  • Help: Text HELP for program information and support contact details

Costs and Carrier Information:

  • Message and data rates may apply. Check with your carrier for details.
  • Supported carriers include but are not limited to: AT&T, Verizon, T-Mobile, Sprint, Boost, Cricket, MetroPCS, U.S. Cellular
  • Carriers are not liable for delayed or undelivered messages

Privacy and Data Use:

We will never sell, rent, lease, or share your phone number or SMS data with third parties for their marketing purposes. Your information is used solely to provide the services you've requested. We maintain records of consent and opt-out requests as required by law.

Dispute Resolution: Any disputes regarding SMS communications will be subject to binding arbitration as outlined in Section 12, except you may opt-out of arbitration for SMS-related disputes by notifying us in writing within 30 days of first receiving a text message from us.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Agentis Solutions and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

6. User Content

You retain ownership of any content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content solely for the purpose of providing the Service to you.

7. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. We are committed to protecting your privacy and personal information. We do not sell your data to third parties. All information collected is used solely to provide and improve our services.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time through your account settings.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, Agentis Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

11. Indemnification

You agree to indemnify and hold harmless Agentis Solutions and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved through binding arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
